I, _______________________________________________________ representing the

artist/band _____________________________________________________ under the

label _________________________________________________________ authorize

Never2Funky, llc and it's principle Alexander Chaney to sale the aforementioned artist's/band's submitted music in electronic MP3 format on the web site Never2Funky also listed as N2FMusicOnline.

I also understand that I am granting Never2Funky and it's agents a non-exclusive license to sale the music in the form of MP3s only.

I understand that this license is for an indefinite period of time, but may be terminated anytime after one year with written notice sent to Never2Funky.

I certify that all materials are original and that I own or have secured complete rights to use and sale of all composition, recordings, lyrics, artwork, loops, and samples included with my work and remove Never2Funky from any liability for the sale of this material and I accept any and all liability brought against the sale of this work that may be brought against myself, Never2Funky, Alexander Chaney, or their agents.

I further understand that to be considered under label status that I must posses a Federal Tax ID number and certificate of incorporation or proper DBA from the county in which the company resides.

Artists not under a label will be listed as a Never2Funky Records artist. This is for categorization and promotional purposes only and Never2Funky does not hold any rights to their materials. I do, however, grant Never2Funky permission to use any means within its disposal to promote my artist/band in any way they deem necessary in order to promote more sales via the Never2Funky MP3 Music Store. This includes but is not limited to including my artist or band's material on any promotional item including posters, postcards, flyers, promotional CDs, magazines, clothing, automobiles, etc. I also authorize Never2Funky to charge for these promotional items in order to recoup the cost of production and promotion and do not expect compensation for the same.

I understand that Never2Funky has the right to refuse any and all material for any reason and that this agreement does not guarantee inclusion in the MP3 store. I further understand that, based on sales, Never2Funky reserves the right to terminate this agreement at anytime and immediately remove all materials from their web site.

I further understand that this agreement may be amended at anytime by Never2Funky, however, I have the right to terminate this agreement within 30-days of any such amendment. Failing to terminate within 30 days represents acceptance to the new terms. Never2Funky must notify me via email of any such amendments and my 30 days begins upon receipt of such a notification.

Pricing

Never2Funky reserves the right to set and adjust the actual sales price, however, the basic guidelines are .99 per track and complete albums (referred to as MPacks) generally reduced by 10%-20% to encourage complete album sales over individual song sales.

Our pricing goals are:

.99 for MP3 singles

.80 per song when in collections of 2 or more

Royalties and Fees

I understand that royalties are calculated after PayPal fees have been subtracted. These fees are to a third party and not within the control of Never2Funky. These fees also include credit card processing fees and sales tax for NJ residents.

All fees due Never2Funky should be made out to Never2Funky and should accompany this agreement and all materials.

Pay Outs

Pay Outs are to be made on a monthly basis and at a minimum of $10. If sales for that month do not equal or exceed $10, those royalties will be rolled into the following month until the minimum is met.
